Welcome to ShowMyTrades, a trading analytics platform operated by VENUS LABS S.R.L. (VAT IT04090370364), with registered office at Via Pasubio 3, Bomporto, MO 41030, Italy (hereinafter "ShowMyTrades", "we", "us", or "our").

These Terms of Service ("Terms") govern your access to and use of ShowMyTrades' website, services, and applications (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE OUR SERVICE.

2. Eligibility

You must be at least 18 years of age to use ShowMyTrades. By creating an account, you represent and warrant that:

• You are at least 18 years old
• You have the legal capacity to enter into these Terms
• You will provide accurate and complete information during registration
• You will comply with all applicable laws and regulations

3. Nature of the Service

3.1 Analytics Platform Only

ShowMyTrades is a trading analytics and performance tracking platform. We provide tools to:

• Sync trading data from MetaTrader 4, MetaTrader 5, and NinjaTrader accounts
• Calculate and display trading statistics and performance metrics
• Generate charts and visualizations of trading activity
• Share verified trading results with other users

3.2 What We Are NOT

ShowMyTrades is NOT:

• A broker or financial institution
• A fund manager or investment advisor
• A provider of financial, investment, or trading advice
• A copy trading or signal service
• Regulated by any financial authority as a financial services provider

3.3 No Copy Trading or Signal Following

Users cannot:

• Automatically copy trades from other users
• Execute trades through our platform
• Receive trading signals or recommendations from us

Any trading decisions you make are your sole responsibility.

4. Account Registration and Security

4.1 Account Creation

To use certain features of the Service, you must create an account by providing:

• Valid email address
• Secure password
• Any additional information required during registration

You are responsible for maintaining the confidentiality of your account credentials.

4.2 API Keys and Trading Account Connection

When connecting your MetaTrader or NinjaTrader accounts, you will provide API keys or account credentials.

You are solely responsible for:

• The security and confidentiality of your API keys
• Any activity that occurs through your connected accounts
• Ensuring you have authorization from your broker to use our Service
• Revoking access immediately if you suspect unauthorized use

5. Acceptable Use Policy

5.1 Prohibited Activities

You agree NOT to:

• Create fake or fraudulent accounts
• Manipulate, falsify, or misrepresent trading data
• Use bots, scrapers, or automated tools to access the Service without authorization
• Engage in scams, fraudulent schemes, or misleading practices
• Sell "signals" or investment services using manipulated performance data
• Use the Service to solicit investments through false or misleading claims
• Impersonate other users or entities
• Harass, abuse, or harm other users
• Violate any applicable laws, regulations, or third-party rights
• Reverse engineer, decompile, or attempt to extract source code
• Introduce viruses, malware, or malicious code

5.2 Consequences of Violations

Violation of this Acceptable Use Policy may result in:

• Immediate account suspension or termination
• Permanent ban from the Service
• Removal of all associated data and content
• Legal action if applicable

6. Data Ownership and Intellectual Property

6.1 Your Trading Data

When you connect your trading accounts to ShowMyTrades:

• You retain ownership of your original trading data
• You grant ShowMyTrades a worldwide, non-exclusive, royalty-free license to use, store, display, and analyze your trading data to provide the Service
• This license includes the right to display your trading statistics publicly if you choose to make your profile public
• You waive any right to compensation or payment for the use of your data by ShowMyTrades

6.2 User-Generated Content

Any content you post on ShowMyTrades (comments, messages, profile information):

• Remains your property
• You grant us a license to display, store, and use such content to operate the Service
• Must comply with our Acceptable Use Policy
• Can be removed by us if it violates these Terms

6.3 ShowMyTrades Intellectual Property

All content, trademarks, logos, software, and technology used in the Service are owned by ShowMyTrades or our licensors.

7. Public Profiles and Privacy

We specifically disclaim:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Any guarantee of accuracy, completeness, or reliability of trading data
• Any guarantee of uninterrupted or error-free service
• Any responsibility for data synchronization failures or delays

8.2 Data Accuracy Disclaimer

WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY TRADING DATA, STATISTICS, OR METRICS DISPLAYED ON OUR PLATFORM.

While we strive to provide accurate analytics:

• Data may be incomplete, delayed, or incorrect due to technical issues
• Third-party data sources (brokers, MetaTrader servers) may provide inaccurate information
• Calculations and statistics are provided "as is" without certification or verification
• You should independently verify all trading data before making any financial decisions

8.3 No Financial Advice

NOTHING ON SHOWMYTRADES CONSTITUTES FINANCIAL, INVESTMENT, OR TRADING ADVICE.

• We do not recommend any trading strategies, securities, or financial products
• Performance of other users is not indicative of future results
• Past performance does not guarantee future success
• You are solely responsible for your own trading decisions

8.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOWMYTRADES AND VENUS LABS S.R.L. SHALL NOT BE LIABLE FOR:

• Any trading losses or financial damages resulting from your use of the Service
• Errors, inaccuracies, or omissions in trading data or analytics
• Service interruptions, technical failures, or data loss
• Unauthorized access to your account or data breaches
• Actions or conduct of other users on the platform
• Any indirect, incidental, consequential, or punitive damages

8.5 User Interactions and Investments

WE ARE NOT RESPONSIBLE FOR:

• Interactions between users on the platform
• Any investment arrangements made between users
• Scams, fraud, or misrepresentation by users
• Verification of user identities or credentials
• Monitoring or policing user communications

If you choose to invest with or follow strategies of other users, you do so entirely at your own risk. We do not endorse, verify, or guarantee any user's trading performance or claims.

8.6 High Risk Trading Warning

The performance data displayed on ShowMyTrades represents historical results and does not guarantee future performance. Trading results shown may be hypothetical or based on actual accounts, but in all cases:

• Historical performance does not predict future returns
• Individual results may vary significantly
• Actual trading involves financial risk that cannot be fully replicated in historical data
• Market conditions change and past strategies may not work in the future

8.7 Hypothetical Performance Results

HYPOTHETICAL PERFORMANCE RESULTS HAVE MANY INHERENT LIMITATIONS. No representation is being made that any account will or is likely to achieve profits or losses similar to those shown on our platform.

Key limitations include:

• Hypothetical results are generally prepared with the benefit of hindsight
• Hypothetical trading does not involve financial risk
• No hypothetical trading record can completely account for the impact of financial risk in actual trading
• The ability to withstand losses or adhere to a particular trading program in spite of trading losses are material points which can adversely affect actual trading results
• Numerous factors related to markets in general or to the implementation of any specific trading program cannot be fully accounted for in hypothetical performance results

Performance results displayed do not account for:

• Spreads and commissions charged by your broker
• Slippage in order execution
• Latency and connection issues
• Psychological factors affecting real trading decisions

9. User Indemnification

YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS ShowMyTrades, VENUS LABS S.R.L., and their respective officers, directors, shareholders, employees, agents, affiliates, and partners from and against any and all third-party claims, liability, damages, losses, costs, expenses, fees (including reasonable attorneys' fees and court costs) that arise from or relate to:

• Your use or misuse of the Service
• Your violation of these Terms of Service
• Your violation of any applicable laws, regulations, or third-party rights
• Your trading activities or investment decisions
• Content or information you submit, post, or transmit through the Service
• Your infringement of any intellectual property or other right of any person or entity
• Any fraudulent, negligent, or willful misconduct by you
• Claims made by other users based on your actions or content

This indemnification obligation will survive termination of your account and these Terms.

10. User Responsibilities and Compliance

10.1 Account Security and Notification

You are solely responsible for:

• Maintaining the confidentiality of your account password and API keys
• All activities that occur under your account
• Immediately notifying us of any unauthorized access or security breach by contacting support@showmytrades.com
• Ensuring that your login credentials are not shared with any third party
• Logging out from your account at the end of each session when using public or shared computers

Failure to notify us promptly of unauthorized access may result in your liability for losses incurred by ShowMyTrades or other users.

10.2 Legal and Regulatory Compliance

By using ShowMyTrades, you agree to comply with all applicable laws and regulations, including but not limited to:

• Securities and financial trading regulations in your jurisdiction
• Anti-money laundering (AML) and know-your-customer (KYC) requirements
• Tax reporting obligations
• Laws prohibiting market manipulation, insider trading, or fraudulent trading practices
• Data protection and privacy laws (including GDPR)
• Export control laws and economic sanctions

You must not use our Service to:

• Manipulate trading data to deceive others
• Make false or misleading statements about trading performance
• Violate any broker terms of service or exchange rules
• Engage in any illegal or fraudulent activity

• Use any automated scripts, bots, or scrapers without written permission

Violations may result in immediate account termination and potential legal action.

Any material downloaded or otherwise obtained through the use of the Service is at your own discretion and risk. You are solely responsible for:

11. Pricing and Payment Terms

11.1 Free Tier

ShowMyTrades currently offers a free tier with access to core features including:

• Unlimited MetaTrader account connections
• Real-time trade synchronization
• Advanced statistics and analytics
• Public profile pages

11.2 Paid Plans

We may introduce premium paid plans in the future with additional features. When paid plans become available:

• Pricing will be clearly displayed on our website
• You will be notified of any changes to your subscription
• Payments will be processed through secure third-party payment processors (PCI-DSS compliant)
• Subscriptions may be subject to additional terms

11.3 Refund Policy

All sales are final. We do not offer refunds or exchanges for any products or services once a purchase is completed, under any circumstances.

NO EXCEPTIONS. No refunds will be provided for:

• Change of mind or buyer's remorse
• Technical issues or service interruptions
• Duplicate purchases or erroneous orders
• Dissatisfaction with the service
• Account termination or suspension
• Any other reason whatsoever

By completing a purchase, you acknowledge and accept that all payments are non-refundable.

11.4 Changes to Pricing

We reserve the right to:

• Introduce new paid features
• Limit features previously available in the free tier
• We will provide at least 30 days' notice before reducing features in the free tier or increasing prices for existing subscribers

12. Account Termination

12.1 Termination by You

You may cancel your account at any time by:

Upon termination:

• Your account will be deactivated
• Your public profile will be removed
• Your trading data may be retained for a limited period as required by law or for legitimate business purposes

12.2 Termination by Us

We may suspend or terminate your access to all or any part of the Service immediately, without notice, for conduct that ShowMyTrades believes violates these Terms or any policies, or for any other reason in our sole discretion, including but not limited to:

• Violation of these Terms of Service
• Engagement in prohibited activities listed in Section 5
• Suspected fraudulent, abusive, or illegal activity
• Required by law or regulatory authorities
• Discontinuation of the Service (with reasonable notice)

ShowMyTrades will bear no responsibility or liability from such action.

12.3 Effect of Termination

Upon termination:

• Your right to use the Service immediately ceases
• We may delete your data in accordance with our data retention policies and applicable law
• Sections of these Terms that by their nature should survive (disclaimers, limitations of liability, indemnification, dispute resolution) will remain in effect
• You remain liable for any obligations incurred prior to termination

13. Modifications to Terms of Service

We may modify, update, or change these Terms at any time without individual prior notice. When we make changes:

• We will update the "Last Updated" date at the top of this document
• We will notify you via email to your registered email address
• We may display a prominent notice on the Service
• Continued use of the Service after changes constitutes your acceptance of the new Terms

It is your responsibility to periodically review these Terms for any changes. If you do not agree to the modified Terms, you must immediately stop using the Service and close your account.

14. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of Italy, without regard to its conflict of law provisions.

14.2 Jurisdiction

Any disputes, claims, or controversies arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Modena, Italy. By using the Service, you agree to submit to the personal jurisdiction of these courts.

14.3 Informal Resolution

Before initiating any legal proceedings, you agree to attempt to resolve disputes informally by contacting us at support@showmytrades.com with a detailed description of the dispute. We will attempt to resolve the dispute in good faith within 30 days.

14.4 GDPR Compliance and Data Rights

As a company operating within the European Union, we comply with the General Data Protection Regulation (GDPR). You have the right to:

• Access your personal data
• Rectify inaccurate data
• Request erasure of your data (right to be forgotten)
• Object to or restrict data processing
• Data portability

15. Miscellaneous

15.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and ShowMyTrades regarding the Service and supersede any prior agreements or understandings.

15.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect. The invalid provision will be replaced with an enforceable provision that comes closest to the intention underlying the invalid provision.

15.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights or provisions. Any waiver of any provision of these Terms will be effective only if in writing and signed by ShowMyTrades.

15.4 Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms to any affiliate, successor, or acquirer without restriction or notification.

15.5 Force Majeure

We are not liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to:

• Acts of God, natural disasters, or severe weather
• War, terrorism, riots, or civil unrest
• Pandemics, epidemics, or public health emergencies
• Government actions, laws, or regulations
• Internet service provider failures or network outages
• Cyber attacks, hacking, or data breaches not caused by our negligence

These Terms are written in English. Any translations provided are for convenience only. In case of any inconsistency between the English version and any translation, the English version shall prevail.
